Apointa is software for sports academies and clubs. Clubs use it to run schedules, clients, packages, payments and messaging. Their members use it to book courts, lessons, classes and events.
These terms are between you and Apointa (FZC), a free zone company licensed by the Sharjah Research Technology and Innovation Park Free Zone Authority (licence SC242058501), at 049-Block C VL10, SRTIP, Sharjah, United Arab Emirates ("Apointa", "we", "us").
Which parts apply to you
Part A applies to clubs, academies and other businesses that subscribe to Apointa, and to their staff. Part B applies to members who book or pay through a club's Apointa booking app. Part C applies to everyone.
By creating an account or using Apointa you accept these terms. If you accept them on behalf of an organisation, you confirm that you have authority to bind it.
Part A · Clubs
1. Your agreement with us
Your subscription is governed by your Master Service Agreement with Apointa, including its fee schedule and any order forms (together, the "Agreement"). Part A summarises the main points. If Part A and your signed Agreement differ, the Agreement prevails.
2. Licence and use
We grant you a limited, non-exclusive, non-transferable licence to use Apointa for your own business operations during your subscription. We may improve, change or update the service over time. Features marked as beta are offered for trial, without warranty or support commitments.
3. Accounts and staff
- You are responsible for the accuracy and legality of the information you and your staff enter, and for all activity under your accounts.
- Give each staff member their own login, keep credentials secure and tell us promptly about any unauthorised access.
- You are responsible for having a lawful basis, and any consents needed, for the client data you upload or collect, including data you migrate from another system and the messages you send to clients.
- We may, with reasonable notice, review your use of the service to check it complies with the Agreement.
4. Fees and invoices
- Fees, including any onboarding fee, are set out in your fee schedule. We will give you at least 30 days' notice of any fee change.
- Invoices are due within 30 days of issue. Late amounts carry interest of 1.25% a month, and we may suspend the service and recover reasonable collection costs.
- Fees are non-refundable, including for part periods if the subscription ends early.
5. Online payments
- Card payments that members make through your booking app or payment links are processed by our licensed payment provider in UAE Dirhams (AED). Visa, Mastercard and American Express are supported.
- We deduct our transaction fee, as set out in your fee schedule, plus any payment provider charges such as processing and chargeback fees. If collected funds don't cover these fees, you agree to pay the balance promptly.
- Settlement to your registered bank account follows the payment provider's terms and timelines.
- You are the seller of your services. You are responsible for your prices, cancellation and refund policies, and for resolving refunds and disputes with your members.
6. Term and ending
- The first subscription period is 12 months. It renews automatically for further periods unless either side gives notice at least 30 days before renewal.
- Either side may end the Agreement on 60 days' written notice.
- Either side may end the Agreement if the other materially breaches it and doesn't fix the breach within 10 days of notice.
7. Your data
The data you and your members put into Apointa ("Customer Data") belongs to you. We process it to provide the service on your behalf, as described in our Privacy Policy. A data processing agreement is available on request.
You can request an export of your Customer Data, in a standard format, within 30 days after the Agreement ends, provided all fees have been paid. After that period we delete it, unless the law requires us to keep it.
8. Our product and feedback
Apointa, including its software, design, content and any improvements, belongs to us and our licensors. You may not copy, modify, resell, reverse engineer or build a competing product from it. If you send us feedback or suggestions, we may use them freely and without obligation to you.
With your permission, we may name your club or show your logo as a customer. You can withdraw that permission at any time.
9. Confidentiality
Each side will protect the other's confidential information and use it only for the purposes of the Agreement. This doesn't cover information that is public, already known to the recipient, or developed independently.
10. Third-party services
Apointa connects to third-party services such as payment providers, WhatsApp, email delivery and Google sign-in. Your use of those services is also subject to their own terms. We are not responsible for services we don't control, but we choose providers carefully and will help where we can.
Part B · Members
11. Who you book with
When you book or buy through a club's booking app, your contract for the session, package or membership is with that club. The club sets its prices, schedules, coaches, cancellation and refund policies, and is responsible for delivering what you book. Apointa provides the software the club uses.
12. Your account
- Give accurate details and keep them up to date. Keep your password private. You are responsible for activity on your account.
- You can sign in with email and password or with Google. If your club already holds an account for you, you may be able to claim it with an access code.
- If you add family members, such as children, you confirm that you are their parent or legal guardian, or are otherwise authorised to book and pay for them.
- You need to be 18 or over to hold your own account. Younger players should be added by a parent or guardian.
13. Bookings and cancellations
- Prices and the club's booking rules are shown before you confirm. These rules can include minimum notice, cancellation windows, waitlists, level or assessment requirements and rescheduling limits.
- Cancellations and refunds follow your club's policy. Depending on that policy, a refund may go back to your card or to your wallet with the club.
- Online bookings that aren't paid within the time the club allows may be released automatically.
- Packages, memberships and vouchers follow the club's terms on validity, expiry, freezing and sharing.
14. Payments
Card payments are processed in AED by our licensed payment provider. Card details are entered on the provider's secure page, and neither Apointa nor your club stores your full card number. Questions about refunds or charges should go to your club first.
15. Messages from your club
Your club may send you service messages about your bookings, such as confirmations, reminders and changes, by email, WhatsApp or push notification. Marketing messages are sent only if you have opted in, and you can opt out at any time from the message itself or in your account preferences.
Part C · Everyone
16. Acceptable use
You must not:
- use Apointa unlawfully, or to send spam or unsolicited messages in breach of applicable law;
- upload unlawful, infringing, offensive or harmful material, or malware;
- store or send personal data about others without the authority or consent to do so;
- try to gain unauthorised access, test or bypass security, or disrupt the service;
- copy, frame, scrape, reverse engineer or resell the service, or access data not meant for you.
17. Disclaimers
We work hard to keep Apointa available, accurate and secure, but the service is provided "as is" and "as available". To the extent the law allows, we make no other warranties, including warranties that it will be uninterrupted, error-free or fit for a particular purpose. We are not responsible for the sessions, coaching, facilities or goods that clubs provide.
18. Liability
To the extent the law allows:
- we are not liable for indirect or consequential losses, or for loss of profit, revenue, goodwill or data;
- our total liability to a club under or in connection with the Agreement is limited to the fees that club paid us in the 12 months before the claim.
Nothing in these terms limits liability that cannot be limited by law.
19. Indemnity
You agree to cover Apointa's reasonable losses and costs, including legal fees, arising from your breach of these terms or your unlawful use of the service.
20. Suspension
We may suspend or close an account that breaches these terms, puts the service or other users at risk, or where the law requires it. Where it's reasonable, we will tell you first and give you a chance to fix the problem.
21. Changes to these terms
We may update these terms from time to time. We will post the new version here with a new date. For material changes we will give clubs at least 30 days' notice by email. If you keep using Apointa after a change takes effect, you accept the updated terms.
22. Law and disputes
These terms are governed by the laws of the United Arab Emirates. Disputes will be resolved by the courts of Dubai, United Arab Emirates.
23. General
Neither side is liable for delays caused by events beyond its reasonable control. Clubs may not assign the Agreement without our written consent. If any provision is found unenforceable, the rest still applies.
